Terms of Service

These Terms of Service ("Terms") govern your access to and use of the YBES platform at ybes.live and related services, operated by Ruminuz Digital Pvt Ltd ("YBES", "we", "us", or "our"), a company registered in India (CIN: U62011KL2024PTC089683), with registered office at 2211, 2/1149/1 100, Hilite Business Park, Iringallur, Kozhikode – 673014, Kerala, India.

By creating an account or using YBES, you agree to these Terms. If you do not agree, do not use the service.

1. Eligibility and accounts

To use YBES, you must be at least 18 years old and authorized to act on behalf of the business you register. You are responsible for keeping your account credentials secure and for all activity under your account. Notify us immediately at hello@ybes.in if you suspect unauthorized access.

2. Your subscription and plans

YBES offers a Free plan and paid plans (Starter and Growth), each with its own limits on outlets, customers, and monthly messages. Plan details and pricing are shown at ybes.live/pricing and may change over time. We will give reasonable notice of material pricing changes.

You may upgrade or downgrade your plan from your dashboard. Changes take effect at the start of your next billing cycle.

3. Billing and payments

  • Paid plans are billed monthly or annually, in advance, through our payment partner Razorpay.
  • Annual plans are offered at a discounted rate (equivalent to two months free).
  • All fees are in Indian Rupees (₹) and exclusive of applicable taxes unless stated. GST is added as required and reflected on your invoice.
  • Invoices are GST-compliant. Add your GSTIN during signup to have it appear on invoices.
  • If a payment fails, we may suspend access to paid features until payment is made.
  • Subscription fees are non-refundable. You may cancel at any time to stop future billing, but fees already paid are not refunded. See our Refund Policy at ybes.live/refund-policy.
  • Message credits, including top-up credits, are consumable and non-refundable.

4. Acceptable use

You agree not to use YBES to:

  • Send spam, unsolicited messages, or messages to people who have not consented to hear from you
  • Violate any applicable law, including data protection, consumer, and anti-spam laws
  • Send unlawful, misleading, harmful, or offensive content
  • Infringe anyone's intellectual property or privacy rights
  • Attempt to gain unauthorized access to YBES systems or other accounts
  • Reverse engineer, resell, or sublicense the platform without our written permission
  • Overload or disrupt the service or its infrastructure

We may suspend or terminate accounts that violate this section.

5. Your responsibilities for customer data

When you upload or collect data about your own customers through YBES:

  • You confirm you have the legal right and necessary consent to do so.
  • You are the data controller for that data; YBES processes it on your behalf.
  • You are responsible for complying with the Digital Personal Data Protection Act, 2023, and other applicable laws.
  • You will not upload sensitive personal data unless you have the legal basis to do so.

6. Messaging and consent

YBES lets you send messages through WhatsApp, SMS, and email. You are solely responsible for obtaining valid consent from recipients before sending. WhatsApp messages are subject to WhatsApp's own terms and policies. We may pause or block message sending that appears to violate consent rules or platform policies.

7. Intellectual property

YBES, including its software, design, logos, and content, is owned by Ruminuz Digital Pvt Ltd and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the platform for your business while your account is active. You retain ownership of the content and customer data you upload.

8. Third-party integrations

YBES integrates with third-party services such as POS systems (Petpooja, Dynex, Vimtech VMenu), payment processing (Razorpay), and messaging channels (WhatsApp Business API). We are not responsible for the availability, accuracy, or policies of these third-party services. Your use of them is subject to their own terms.

9. Service availability

We work to keep YBES available and reliable, but we do not guarantee uninterrupted or error-free service. We may perform maintenance, updates, or changes that temporarily affect availability. We are not liable for downtime caused by factors outside our reasonable control.

10. Cancellation and suspension

  • You may cancel your paid plan anytime from your dashboard. Your account downgrades to the Free plan at the end of the current billing cycle. Your data is retained per our Privacy Policy.
  • We may suspend or terminate your account if you breach these Terms, fail to pay, or use the service unlawfully. Where reasonable, we will give notice and an opportunity to fix the issue.

11. Disclaimers

YBES is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the service will meet every requirement or that results (such as customer retention outcomes) are guaranteed.

12. Limitation of liability

To the maximum extent permitted by law, Ruminuz Digital Pvt Ltd will not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, revenue, data, or goodwill, arising from your use of YBES.

Our total liability for any claim relating to the service will not exceed the amount you paid to us in the [VERIFY — e.g. three (3)] months before the claim arose.

13. Indemnity

You agree to indemnify and hold harmless Ruminuz Digital Pvt Ltd, its directors, and employees from any claims, damages, or costs arising from your use of YBES, your content or customer data, messages you send, or your breach of these Terms or any law.

14. Governing law and jurisdiction

These Terms are governed by the laws of India. Any dispute arising from these Terms or your use of YBES is subject to the exclusive jurisdiction of the courts in Kozhikode, Kerala, India.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Continued use of YBES after changes means you accept the updated Terms.
